1. About these terms
Prooflive.ai is provided by Prooflive.ai, trading as Prooflive ("we", "us", "our"), of 7 Ferry Road, Preston PR2 2YH, United Kingdom. You can reach us at support@prooflive.ai.
These terms apply when you create an account or use Prooflive.ai, including the app at app.prooflive.ai, webmail, the build API and the hosting of your sites. By creating an account or using the service you agree to them. If you use Prooflive.ai for a business, you confirm you have authority to agree on its behalf. If you have a signed agreement with us (for example Enterprise), that agreement takes priority where it differs.
2. Your account
- You must be 18 or over and give accurate details, including a working email address that you confirm.
- Keep your password and any build links private. A build link lets an AI agent change your site, so treat it like a password. You are responsible for what happens under your logins and build links.
- Tell us straight away at support@prooflive.ai if you think your account has been misused.
3. Designers, studios and site owners
Designers and studios build sites for their clients and can earn commission (section 9). Business owners ("site owners") own their site and its plan, and pay for its hosting. A designer can set up a site for a client and invite the client to take it live; once the client pays, the site belongs to the client's account. Designers keep access to the sites they build unless the site owner or we remove it.
4. Your content and designs
- You own your content. That includes your designs, text, images, logos and the pages built for you. You give us a non-exclusive licence to host, store, copy, process and display it as needed to run the service, and for no other purpose.
- You must have the rights to everything you or your AI agent upload or publish, including fonts, photographs and other people's work, and it must not break the law or anyone's rights.
- AI-built pages are your responsibility. Your AI agent builds pages from your instructions and designs. Our checks (Proofrails) help with quality, but you are responsible for reviewing what is published, including its accuracy and any claims it makes.
- The platform is ours. Prooflive.ai, its software, Proofrails, the design library (directions, patterns and stylesheets) and our branding belong to us. You may use design library material only on sites hosted on Prooflive.ai, while they are hosted here. Pages we serve include a Prooflive.ai credit and a reference in their code; please leave these in place.
- Our rules are confidential. The build rules, Proofrails checks and their findings, and the design library are provided only so you and your AI agent can build sites hosted on Prooflive.ai. Don't copy, publish or share them, or use them to build or check sites anywhere else. Each copy of the build rules is marked to the build link it was sent to.
5. Plans, trials and payment
- Prices are shown on our pricing page in pounds sterling. We are not VAT registered, so no VAT is added. If that changes we will tell you before it affects what you pay.
- Billing is monthly or annually in advance, by card through Stripe. Extra mailboxes (£4.99 a month each) and extra team logins (£15 a month each) are added to your bill and prorated when you add them.
- Free trial: each account gets 30 days free from the first time it puts a site live. Your card is taken when you go live and first charged when the trial ends, unless you cancel in Billing before then.
- Cancelling: you can cancel any time in Billing. Cancellation takes effect at the end of the period you have paid for, and the site goes offline then. We do not refund part-used periods, except where the law requires it.
- Failed payments: if a payment fails we will retry it and email you. If it still is not paid, we may suspend the site or email until it is.
- Price changes: we will give you at least 30 days' notice by email before a price change applies to you.
- Plan limits: each plan has limits (for example monthly visitors, storage and pages), shown on the pricing page. If you regularly go over them we will ask you to move to a plan that fits.
6. Email
Mailboxes are for normal business email. Do not use them for bulk or unsolicited marketing, and do not send spam or anything that breaks the law. We apply sending limits and may pause sending from a mailbox that is being abused or is harming our ability to deliver email for everyone. Keep your own copies of important email. A deleted mailbox's mail is kept for 7 days, so a mistake can be undone, and then removed.
7. Acceptable use
You must not use Prooflive.ai to:
- publish or send anything illegal, defamatory, fraudulent, deceptive, hateful or harassing, or that infringes anyone's rights;
- distribute malware, run phishing or impersonate someone else;
- attack, overload, probe or get around the security or limits of the service, other sites or other people's accounts;
- copy the platform or the design library, or host material from it elsewhere;
- resell hosting or accounts, other than designers building sites for their clients as described in these terms.
We may remove content or suspend a site, mailbox or account that breaks these rules. Where it is safe and lawful to do so, we will tell you first and give you a chance to put things right.
8. Availability and backups
We work to keep Prooflive.ai running, secure and fast, and host it in a UK data centre in London. We do not promise it will always be available or free of errors: maintenance, faults and events outside our control can cause interruptions. We back up the service, but you should keep your own copies of your designs and content. Enterprise service levels are set out in the Enterprise agreement.
9. Partner programme (designers and studios)
- Commission: you earn a share of each hosting payment we receive for a client site attributed to you: 10% as a Partner, 15% as a Preferred Partner (5 or more live sites) and 20% as a Premier Partner (15 or more), set by the level your live sites earn, unless we have agreed different rates with you in writing. Commission is on the amount actually received, excluding refunds, chargebacks and disputed payments.
- Payouts are made through Stripe once you set up payouts and complete Stripe's checks. Stripe's own terms apply to your Stripe account. Commission on a payment that is later refunded or charged back is deducted from future payouts.
- Paid levels: you can also choose Preferred Partner (£59 a month or £590 a year) or Premier Partner (£149 a month or £1,490 a year) as a subscription. A paid level gives that level's account features, as described in your account; it does not change your commission rate, which always follows the level your live sites earn. It renews until you stop it, and stopping it keeps the level to the end of the period you have paid for, with no refund for the rest of that period. Moving from Preferred to Premier is charged straight away for the rest of the period.
- Your own site: Preferred and Premier Partners, earned or paid, can host their own studio site free while they keep that level, as described in your account.
- Your brand and Outreach: when you put your brand on what your clients see, or use Outreach, you are responsible for what is sent in your name: that it is accurate, that you have the right to use the names, logos and content involved, and that your messages follow UK marketing rules (including the Privacy and Electronic Communications Regulations and UK GDPR). We may pause either if they are misused. Emails are sent from our address under your name.
- Referrals: any referral rewards are shown in your account and paid in the same way.
- You are responsible for your own tax on what you earn. We can change rates or levels with at least 30 days' notice; what you have already earned is not affected.
10. Ending your account
You can close your account at any time by cancelling your plans and contacting us. We may suspend or close an account for serious or repeated breaches of these terms, for non-payment, or where the law requires it. When an account closes, its sites and mailboxes go offline. Download anything you want to keep before then. We delete account content within 90 days of closure, except records we must keep by law (such as billing records, which we keep for 6 years).
11. Our liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit. Otherwise:
- we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss;
- our total liability to you in any 12-month period is limited to the amount you paid us in that period, or £100 if that is higher.
If you are a consumer, you also have rights under consumer law that these terms do not affect.
You agree to cover our reasonable losses and costs arising from a claim that your content, or your use of the service in breach of these terms, infringes someone's rights or breaks the law.
12. Personal data
Our Privacy Policy explains how we handle personal data about you. Where your sites and mailboxes hold personal data about other people (for example form enquiries, your customers' email and visitor statistics), you are the controller and we process it on your behalf under the data processing terms in section 15.
13. Changes to these terms
We may update these terms. For significant changes we will give you at least 30 days' notice by email or in the app. If you keep using Prooflive.ai after the change, the new terms apply. If you do not agree, you can cancel before they take effect.
14. General
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
- If part of these terms cannot be enforced, the rest still applies. If we do not enforce something straight away, we can still do so later.
- We may transfer our rights and obligations to someone who takes over the business; we will tell you if we do. You may not transfer your account without our agreement.
- Notices to you go to your account's email address. Notices to us go to support@prooflive.ai.
15. Data processing terms
These terms apply where we process personal data on your behalf, as required by Article 28 of the UK GDPR.
- What we process: the content of your sites, form enquiries, mailboxes and email, visitor statistics, and the people who appear in them (your visitors, customers, staff and contacts), for as long as you use the service, to host your sites and run your email.
- Instructions: we process this data only to provide the service and on your documented instructions (your use of the service and these terms), unless the law requires otherwise.
- Confidentiality and security: anyone who handles the data is bound by confidentiality. We use appropriate technical and organisational measures, including encryption in transit, restricted access, UK hosting and backups.
- Sub-processors: you agree to us using DigitalOcean (hosting, London), SMTP2GO (email delivery) and Stripe (payments), each under contract terms that protect the data. We will tell you before adding or replacing a sub-processor, and you can object.
- Help: we will help you, as reasonably needed, to respond to people exercising their data rights, with security, and with breach notifications and impact assessments.
- Breaches: we will tell you without undue delay after becoming aware of a personal data breach affecting your data.
- End of service: when your account closes we delete the data within 90 days, unless the law requires us to keep it. You can export it before then.
- Transfers and checks: where data leaves the UK we use lawful safeguards. We will give you the information reasonably needed to show compliance with these terms.
